Welcome to Edit with Words. These Terms of Service ("Terms") govern your access to and use of the Edit with Words website and services, including any content, functionality, and services offered on or through editwithwords.com (the "Service"), operated by Search Ventures Pty Ltd. (ACN 639936520).

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Edit with Words uses Replicate.com's AI models. By using our Service, you also agree to abide by Replicate's Terms of Service, which are incorporated by reference into these Terms. You can view Replicate's Terms at https://replicate.com/terms.

1. Definitions

In these Terms:

"Content" means any information, data, text, images, or other materials that users upload, submit, post, or transmit through the Service.
"Output" means any content, including images, generated by the Service based on user inputs.
"User" or "you" means any individual who accesses or uses the Service.
"We," "our," or "us" means Search Ventures Pty Ltd., the company operating Edit with Words.

2. Account Registration

To use certain features of the Service, you may need to create an account. When you create an account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must notify us immediately of any breach of security or unauthorized use of your account.

3. Credits and Payment

The Service operates on a credit-based system. Users can purchase credits that can be used to generate or edit images. Credits expire as specified at the time of purchase. We reserve the right to change the pricing structure, credit expiration policies, or features at any time.

All payments are processed securely through our payment processor. By making a purchase, you agree to provide accurate billing information and authorize us to charge your chosen payment method.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

In any way that violates any applicable federal, state, local, or international law or regulation.
To exploit, harm, or attempt to exploit or harm minors in any way.
To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
To impersonate or attempt to impersonate the company, a company employee, another user, or any other person or entity.
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which may harm the company or users of the Service or expose them to liability.

5. Replicate Terms of Service Compliance

As we utilize Replicate.com's AI models, you must comply with their Terms of Service. In particular, you agree not to use our Service:

To violate laws or others' rights, including intellectual property and data privacy rights.
To commit, promote, contribute to, facilitate, encourage, plan, incite, or further:
- Violence, terrorism, or generation of hateful content that discriminates or threatens a protected group of people.
- Exploitation or harm to children, including the solicitation, creation, acquisition, or dissemination of child exploitative content.
- Encouragement or instructions related to self-harm.
To promote human trafficking, exploitation, and sexual violence.
To harass, abuse, threaten, stalk, or bully individuals or groups of individuals.
To create non-consensual nudity or illegal pornographic content.
To create and disseminate extreme gore such as images involving bodily destruction, mutilation, torture, or animal abuse.
To discriminate in the provision of employment, employment benefits, credit, housing, other economic benefits, or other essential goods and services.
To create malicious code, malware, computer viruses, or any activity that could disable, overburden, interfere with, or impair the proper working, integrity, operation, or appearance of a website or computer system.
For fully automated decision-making with respect to individuals which produces legal effects concerning such individuals or similarly significantly affects such individuals.
For development, improvement, or manufacture of any weapons.
For mission-critical applications or systems where best industry practices require fail-safe controls or performance.
To intentionally deceive or mislead others, including generating, promoting, or furthering fraud or disinformation.
To generate, promote, or further defamatory content.
To generate, promote, or further distribute spam.
To impersonate another individual without consent, authorization, or legal right.
To represent or mislead people into believing that outputs are human-generated.
To generate or facilitate false online engagement, including fake reviews.
To generate or facilitate large-scale disinformation campaigns.
To generate political advertisements, propaganda, or influence campaigns.

6. Content and Intellectual Property Rights

6.1 User Content

You retain ownership of any Content you submit to the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your Content in connection with providing and improving the Service.

6.2 Generated Output

You own the rights to the Output generated by the Service based on your inputs, subject to our underlying rights in the Service and technology. You are granted a worldwide, non-exclusive, non-transferable license to use, reproduce, modify, distribute, and display the Output for any lawful purpose, including commercial purposes.

6.3 Service Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Search Ventures Pty Ltd. and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICE.

WITHOUT LIMITING THE FOREGOING, NEITHER THE COMPANY NOR ANYONE ASSOCIATED WITH THE COMPANY REPRESENTS OR WARRANTS THAT THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

8. Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless the company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
